Legal department and a few other departments within the Bank are engaged in drafting contracts. They would like to leverage new technologies for drafting contracts, improving better quality, more responsiveness to clients and reduce the manual labor involved in the process.

Lawyers draft hundreds of legal documents every year using ‘model documents’. These ‘model documents’ are used as the basis for customizing transaction-specific legal documents. This customization process consists mainly of using additional covenants, also standard or suitable for standardization, that are relevant to the specific transaction. Customized transaction-specific legal documents also contain information that is already available in different Bank systems.

A.        OBJECTIVES

In this context, the drafting process could become much more efficient if it could be done using a software that would automatically select relevant covenants depending on the characteristics of the transaction (that could be identified by the lawyer using a ‘checklist’), and import to the contract relevant project information available in other Bank systems (such as project name, amount of the loan/grant, name of borrower/recipient, instrument, etc.). In turn, lawyers will input information in the contract that will be available for use by other systems such as disbursement conditions or the name of the authorized representative to submit withdrawal applications. Specifically, the scope is as outlined below:
